Non-profit legal entities (NPLE) entered in the register of non-profit legal entities with the district courts are required to submit an application for re-registration by 31 December 2022. As at this date, they should all be entered in the Commercial Register and the Register of Non-Profit Legal Entities with the Registry Agency ("CRRNPLE").
Maintaining an electronic account of each NPLE in a common public register will facilitate access to information for third parties. In addition, it will provide an opportunity for the subsequent change in circumstances application and the announcement of acts to be done electronically.
The re-registration in the CRRNPLE is done by means of an application form, and a state fee is not due. For more details, necessary documents and technical information, it is recommended to consult with the relevant professional.
The Non-Profit Legal Persons Act does not regulate the consequences in case a non-profit legal entity is not not re-registered by 31 December 2020. This legal gap needs to be overcome through legislative initiative. Otherwise, it opens the possibility for the adoption of contradictory case law.
